These Affiliate Program Terms & Conditions (the "Agreement") are entered into between NuGenia Logics ("we," "us," "Company") and you ("Affiliate," "you") upon your submission of an affiliate application and our written or automated approval of that application.
By submitting an application, receiving approval, generating an affiliate link, or earning a commission, you confirm that you have read, understood, and agree to be bound by this Agreement in full. If you do not agree, do not apply or participate in the program.
To participate in the NuGenia Logics Affiliate Program you must:
The program is open worldwide. We do not restrict participation by country, however you are solely responsible for understanding and complying with any local laws, disclosure requirements, or tax obligations that apply to you in your jurisdiction.
Submitting an application does not guarantee enrollment. We review all applications manually and approve at our sole discretion. We look for genuine audience fit, authentic content, and alignment with our brand values.
Upon approval, you will receive an email containing your unique referral link, affiliate ID, and a link to your affiliate dashboard. You are responsible for maintaining the security of your account credentials.
Your unique affiliate link includes a ref parameter that places a first-click attribution cookie on visitors' browsers. Key tracking rules:

We are not responsible for tracking failures caused by ad blockers, browser privacy settings, VPNs, or any technology that prevents cookies from being set. Commission disputes based on missing cookie tracking will be reviewed on a case-by-case basis but are not guaranteed to be honored.
Commissions are calculated as a percentage of the net order value (product price excluding taxes, shipping, and any discount codes not issued by you).
Commission rates are set by NuGenia Logics and may be adjusted with 30 days' written notice to active affiliates. Any change applies to sales made after the notice period, not to sales already recorded.
Commissions have a 30-day pending period after the order is completed to allow for refund and chargeback resolution. Commissions become eligible for payout after this period.
Payouts are processed automatically on the 1st of each calendar month for all eligible commissions with a balance of $50.00 USD or more. Balances below $50 carry forward to the following month and accumulate until the threshold is met.
The following are strictly prohibited and will result in immediate termination and forfeiture of all pending commissions:
You may use NuGenia Logics' name, logo, and approved marketing materials solely for the purpose of promoting the affiliate program through honest, accurate content. All promotional materials must:
We reserve the right to request removal of any content that we determine misrepresents our brand, products, or values. Failure to comply with a removal request within 48 hours constitutes a material breach of this Agreement.
NuGenia Logics grants you a limited, non-exclusive, non-transferable, revocable license to use our approved logos and marketing assets solely for affiliate promotion purposes during the term of this Agreement.
You may not modify our logos, create derivative works, or use our intellectual property in any way not expressly authorized by this Agreement. All rights not expressly granted are reserved by NuGenia Logics.
You retain ownership of your own original content. By tagging, mentioning, or featuring NuGenia Logics in your content, you grant us a non-exclusive right to share, repost, or reference that content for marketing purposes with appropriate credit.
By you: You may exit the program at any time by emailing hello@nugenialogics.com. Any eligible commissions already accrued above the $50 threshold will be paid in the next scheduled payout cycle.
By us — with notice: We may terminate or suspend the affiliate program entirely with 30 days' written notice to active affiliates. Eligible accrued commissions will be paid out in the final cycle.
By us — immediately: We may terminate your affiliate account immediately and forfeit all pending commissions if you:
Upon termination your affiliate link will be deactivated and you must remove all NuGenia Logics affiliate links and brand assets from your platforms.
The affiliate program is provided "as is" without warranties of any kind. NuGenia Logics does not guarantee any particular level of earnings, traffic, or conversions through the program.
To the maximum extent permitted by applicable law, NuGenia Logics shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the affiliate program, including but not limited to lost profits, lost data, or business interruption.
Our total liability to you for any claim arising under this Agreement shall not exceed the total commissions paid to you in the three months preceding the claim.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.
We reserve the right to modify these terms at any time. Material changes — including changes to commission rates, payout thresholds, or prohibited conduct — will be communicated to active affiliates by email at least 30 days before taking effect. Continued participation in the program after the effective date constitutes acceptance of the revised terms.
